Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the HostPay API, dashboard, and related services (the "Service"), operated by Heuristic of Science and Technology SL Limited ("HOST SL", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using HostPay on behalf of a business, you confirm you have authority to bind that business.

2. Definitions

  • Merchant — the business or individual holding a HostPay account.
  • End user — a customer of the Merchant whose users, wallets, or transactions the Merchant manages through HostPay.
  • Service — the HostPay API, dashboard, and supporting infrastructure.

3. Eligibility

You must be at least 18 years old and operate a lawful business to use the Service. You are responsible for ensuring your use of HostPay complies with the laws and regulations that apply to you.

4. Accounts and credentials

You are responsible for keeping your API keys (API key and secret key) and dashboard credentials confidential, and for all activity that occurs under them. Email verification is required to activate an account. Notify us immediately at host.sl.co@gmail.com if you suspect unauthorized access; you can also revoke individual device sessions from the dashboard.

5. Acceptable use

You agree not to use the Service to:

  • Process fraudulent, unlawful, or unauthorized transactions.
  • Conduct any business prohibited by us or by our payment providers.
  • Circumvent security controls, signature verification, or rate limits, or attempt to access data belonging to other merchants.
  • Misrepresent your identity or the nature of your transactions.

6. Test and live modes

HostPay provides separate test and live environments. Test mode is for integration and does not move real funds. You are responsible for ensuring live-mode activity reflects genuine transactions.

7. Payments, fees, and payouts

Transactions are processed through our payment providers. Applicable platform fees, transaction fees, and any escrow release fees are disclosed in your pricing and configuration and may be deducted from processed amounts. Payouts are subject to provider processing times and limits, and amounts may be converted between currencies (such as USD and SLE) using prevailing rates. You are responsible for any taxes arising from your use of the Service.

8. Third-party providers

Card payments are processed by Stripe and mobile money by Monime. Your use of those rails is also subject to the providers' own terms. We are not responsible for provider outages, decisions, or actions outside our control.

9. Merchant responsibilities

You are responsible for complying with all laws applicable to your business, including consumer protection, data protection, and anti-money-laundering and know-your-customer requirements. You must maintain your own terms and privacy notice for your end users and ensure the data you submit to HostPay is accurate and lawfully collected.

10. Intellectual property

HostPay and its underlying software, documentation, and branding are owned by HOST SL. We grant you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. You may not copy, resell, or reverse-engineer the Service.

11. Service availability

The Service is provided on an "as is" and "as available" basis. We may perform maintenance, modify features, or experience interruptions. Unless agreed otherwise in writing, we do not guarantee any specific level of uptime.

12. Suspension and termination

We may suspend or terminate access if you breach these Terms, if required by law or a payment provider, or to protect the Service or its users from fraud or risk. You may stop using the Service at any time. Obligations that by their nature should survive termination — including fees owed and record retention — will continue to apply.

13. Disclaimers and limitation of liability

To the maximum extent permitted by law, HostPay disclaims all warranties not expressly stated in these Terms, and will not be liable for indirect, incidental, or consequential damages, or for loss of profits, data, or funds caused by events outside our reasonable control. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify HostPay against claims, losses, and expenses arising from your use of the Service, your transactions, or your breach of these Terms or applicable law.

15. Governing law

These Terms are governed by the laws of Sierra Leone, without regard to conflict-of-law rules, and any disputes are subject to the exclusive jurisdiction of the courts of Sierra Leone.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above; continued use of the Service after changes take effect constitutes acceptance.
